We shall hold you harmless for any illegal matters related to the Intellectual Property Rights of the product, and we certify that the product is purely for commercial use only. In the event of any legal issues that cause potential litigation with a third party either with the government or any commercial entities related to the products, we shall engage legal representative to protect both our interests.
This undertaking is valid as long as the service agreement is in force with your Company.

我方作为贵公司________________________________________货物的供应商，向贵公司做出如下保证：
一、关于我方经营资格的保证
我方保证向贵公司提供的营业执照、经营生产许可证真实有效。
二、关于我方供应货物的保证
1、供应货物都有合格的《质量检测报告》和相关的产品合格证，符合国家的相关规定。
2、供应货物经贵公司书面确认供应品牌后，不作随意更换。
3、供应货物的保质期不低于______天，自货物经贵公司验收入库之日起计算。
4、我方认可贵公司的货物验收制度，并在对供应货物进行验收时，严格遵守贵公司的`货物验收制度。
5、对未通过验收的货物，保证在贵公司规定时间内补充合格的货物。
6、对通过验收的货物，在贵公司投入使用之前，出现相关证照不全、品牌不符及质量问题的，保证无条件退货，并在贵公司规定时间内补充合格的货物。
7、因我方供应货物的质量问题，对贵公司造成了不良影响的，我方愿承担该批货物价款1-10倍的罚款，并承担由此所造成的经济损失及法律责任。
8、我方愿意用供应货物货款的30%作为每月结帐的滚动质保金，于下次结帐时进行结算。
